Introduction and Acceptance of Terms
These Terms of Service ("Terms") constitute a legally binding agreement between you ("User", "you", "your") and SSBA Innovations Limited, operating under the brand name TaxBuddy ("TaxBuddy", "Company", "we", "our", or "us").
These Terms govern your access to and use of TaxBuddy's websites, mobile applications, client portals, software platforms and services, including tax filing, tax advisory, accounting, bookkeeping, compliance, investment advisory, financial planning and related services (collectively, the "Services").
By creating an account, accessing the Platform, uploading information, engaging TaxBuddy for any Service, or clicking "I Agree", "Accept", "Continue" or any similar mechanism, you acknowledge that you have read, understood and agree to be bound by these Terms, our Privacy Policy and any service-specific terms applicable to the Services you use.
If you do not agree to these Terms, you must discontinue use of the Platform and Services.
Eligibility and User Accounts
You may use the Services only if you:

Are at least 18 years of age and legally competent to enter into a binding agreement;

Are not prohibited by applicable law from using the Services;

Provide accurate, complete and current information; and
-
Possess all necessary authority and permissions required to act on your own behalf or on behalf of any individual, business or other entity you represent.
Certain Services may require registration of an account. You agree to maintain accurate account information and promptly update any information that becomes inaccurate or outdated.
TaxBuddy may verify information provided by you through legally permissible verification processes and may suspend, restrict or terminate access where information cannot be verified or appears inaccurate, incomplete, misleading or fraudulent.
Account Security
You are responsible for maintaining the confidentiality of your account credentials, including usernames, passwords, OTPs and other authentication mechanisms.
You agree to:

Restrict unauthorized access to your account;

Not disclose, share, transfer or permit access to your account credentials, including login IDs, passwords, OTPs or other authentication information, to any person;

Secure devices used to access the Platform;
-
Maintain reasonable security protections; and
-
Promptly notify TaxBuddy of any suspected unauthorized access, credential compromise, fraud or security incident.
TaxBuddy shall not be responsible for losses, damages or unauthorized activities resulting from your failure to maintain reasonable account security or from the disclosure, sharing or misuse of your account credentials.
Scope of Services
TaxBuddy is a technology-enabled platform providing tax, accounting, bookkeeping, compliance, advisory, financial planning, investment advisory and related services.
Services may include:

Tax return preparation and filing;

Tax planning and advisory;
-
Accounting and bookkeeping services;
-
Business compliance services;
-
Payroll and reporting services;
-
Financial planning and investment advisory services;
-
Document management and client portal services;
-
AI-assisted processing and automation tools; and
-
Other services introduced from time to time.
Certain Services may be subject to separate engagement letters, regulatory disclosures, statements of work or service-specific terms. In the event of any conflict, the terms of the applicable engagement letter or service-specific agreement shall prevail for that particular Service.
TaxBuddy reserves the right to modify, suspend or discontinue any Service at any time.
User Responsibilities
You agree to:

Provide complete, accurate and truthful information;

Upload only information and documents that you are authorized to provide;

Review and verify all returns, filings, reports, recommendations and other deliverables before reliance or submission;
-
Maintain copies of records and supporting documentation required by law;
-
Cooperate with reasonable requests for information and clarification;
-
Comply with all applicable laws and regulatory requirements; and
-
Promptly notify TaxBuddy of any errors, discrepancies or unauthorized activity.
TaxBuddy relies upon information supplied by Users and does not independently verify all information submitted. You remain responsible for the accuracy, completeness and legality of information provided through the Platform.
Privacy, Communications and Electronic Records
Your use of the Platform and Services is subject to TaxBuddy's Privacy Policy, which forms an integral part of these Terms.
Personal Data Processing and Purpose of Collection
TaxBuddy collects, processes and stores personal data only for lawful purposes including:

Account registration and identity verification;

Tax preparation, filing and advisory services;

Accounting, bookkeeping and compliance services;
-
Investment advisory and financial planning services;
-
Customer support and service delivery;
-
Payment processing and billing;
-
Fraud prevention, risk management and security monitoring;

Compliance with legal, regulatory and audit requirements; and
-
Service improvement, analytics and operational administration.
TaxBuddy shall collect only such personal data as is reasonably necessary for providing the requested Services, fulfilling contractual obligations, or complying with applicable legal, regulatory, statutory, audit, or governmental requirements. Personal data shall not be collected or processed beyond what is necessary for the purposes stated above, except where required or permitted by applicable law.
Personal data shall be processed only to the extent necessary for such purposes or as otherwise permitted under applicable law.
By accepting these Terms, creating an account, submitting information through the Platform, or selecting the consent checkbox or similar consent mechanism provided by TaxBuddy, you expressly consent to the collection, use, storage, processing and sharing of your personal data as described in the Privacy Policy and applicable law, including the Digital Personal Data Protection Act, 2023.
By the same affirmative action, you also consent to receive communications from TaxBuddy through electronic channels including email, SMS, WhatsApp, telephone calls, client portal notifications, mobile notifications and other digital communication channels.
Such communications may include service updates, tax filing notifications, compliance reminders, invoices, payment reminders, security alerts, regulatory disclosures, customer support communications, and, where separately consented to or otherwise permitted by applicable law, promotional or marketing communications relating to TaxBuddy's services.
You acknowledge and agree that electronic communications and records may satisfy any legal requirement that communications or records be provided in writing and may be relied upon for compliance, audit, operational and evidentiary purposes to the extent permitted by applicable law.
You may opt out of promotional or marketing communications at any time by using the unsubscribe link provided in such communications, updating your communication preferences through your account settings (where available), contacting TaxBuddy through the contact details specified in the Privacy Policy, or by following any other opt-out instructions communicated by TaxBuddy. TaxBuddy will process such requests within a reasonable period in accordance with applicable law.
Where consent is the legal basis for processing or communication, you may withdraw your consent at any time through the mechanisms provided by TaxBuddy or as described in the Privacy Policy. However, withdrawal of consent shall not affect the lawfulness of processing carried out prior to such withdrawal.
Notwithstanding any opt-out or withdrawal of consent relating to promotional communications, TaxBuddy may continue to send communications that are necessary for service delivery, tax compliance, legal and regulatory obligations, security, fraud prevention, account administration, dispute resolution, or the performance of contractual obligations.
Data Principal Rights
Subject to applicable law, Users may exercise rights relating to their personal data, including:

Right to obtain information regarding personal data being processed;

Right to correction, completion and updating of inaccurate personal data;

Right to request erasure of personal data, subject to legal and regulatory retention obligations;

Right to withdraw consent previously provided;
-
Right to grievance redressal;
-
Right to nominate another individual to exercise these rights on the User's behalf in the event of the User's death or incapacity; and
-
Any other rights available under the Digital Personal Data Protection Act, 2023 or other applicable laws..

Withdrawal of Consent
Where processing of personal data is based on consent, Users may withdraw such consent at any time by:

Updating their preferences through the settings or consent management options available on the Platform (where applicable);

Sending a request to privacy@taxbuddy.com; or
-
Contacting TaxBuddy through any other channels specified in these Terms or the Privacy Policy.
Withdrawal of consent shall not affect the lawfulness of processing undertaken prior to such withdrawal.
Users acknowledge that withdrawal of consent may limit or prevent TaxBuddy from providing certain Services where the processing of personal data is necessary for service delivery, compliance with legal obligations, fraud prevention, security requirements, or performance of contractual obligations.
AI-Assisted Services and Automation
TaxBuddy may use artificial intelligence (AI), machine learning, optical character recognition (OCR), automated data extraction and other technologies to support service delivery, document processing, customer support, compliance workflows and platform operations.
Users acknowledge that automated outputs may contain inaccuracies, omissions or errors and should be independently reviewed before reliance or submission. TaxBuddy does not guarantee that AI-generated or automatically extracted information will be accurate, complete or error-free.
Users remain solely responsible for reviewing, verifying and approving all information, filings, reports, recommendations and documents before use or submission to any authority. TaxBuddy may apply human review where deemed appropriate but is not obligated to do so in every case.
Government and Third-Party Systems
Certain Services depend upon systems, platforms and services operated by government authorities, regulators, financial institutions, payment processors, communication providers, cloud service providers and other third parties that are outside TaxBuddy's control.
TaxBuddy does not guarantee the availability, performance, accuracy, acceptance or uninterrupted operation of such systems and shall not be responsible for delays, interruptions, filing rejections, transmission failures or service disruptions arising from third-party systems, government portals, regulatory changes or events beyond its reasonable control.
TaxBuddy does not control and cannot guarantee the confidentiality, integrity, availability, security or resilience of information, including personal data, that is processed, stored, transmitted or maintained by such third-party systems, government portals or external service providers. The processing of information by such third parties shall be subject to their respective terms, privacy policies, security practices and applicable legal obligations.
Users remain responsible for monitoring statutory deadlines, filing acknowledgements and regulatory obligations.
Fees, Payments and Refunds
Certain Services may be subject to professional fees, subscription charges, advisory fees, filing fees or other charges communicated through the Platform, quotations, engagement letters, subscription plans or other written communications.
Unless otherwise specified:

Fees are payable in advance;
-
Applicable taxes, government levies and statutory charges are additional;
-
Payments may be processed through authorized third-party payment providers; and
-
Non-payment may result in suspension of Services.
Fees paid for Services are generally non-refundable once service delivery has commenced. However, TaxBuddy may consider refunds, in whole or in part, where required by law, duplicate payments occur, payment processing errors arise or TaxBuddy is unable to deliver the purchased Service.
Cancellation of a Service or Account shall not automatically entitle a User to a refund and shall not affect accrued obligations, outstanding fees or records required to be retained under applicable law.
Intellectual Property
The Platform, Services, software, content, designs, workflows, methodologies, trademarks, logos, reports, templates and related intellectual property are owned by or licensed to TaxBuddy and are protected by applicable intellectual property laws.
Subject to these Terms, TaxBuddy grants Users a limited, non-exclusive, non-transferable and revocable license to access and use the Platform solely for lawful use of the Services.
Users retain ownership of information and documents submitted by them but grant TaxBuddy a limited license to store, process, analyze and use such information as reasonably necessary to provide Services, comply with legal obligations and improve service delivery.
Any feedback, suggestions or recommendations voluntarily provided by Users may be used by TaxBuddy without restriction or obligation to compensate the User.
Acceptable Use
Users shall use the Platform only for lawful purposes and in accordance with these Terms.
Users shall not:

Provide false, misleading or fraudulent information;

Upload unlawful, infringing or malicious content;
-
Circumvent security controls or authentication mechanisms;
-
Reverse engineer, decompile or attempt to derive source code from the Platform;
-
Introduce malware, harmful code or disruptive technologies;
-
Access unauthorized systems, accounts or data;
-
Scrape, harvest or extract data without authorization;
-
Interfere with the operation, security or availability of the Platform; or
-
Use the Platform in violation of applicable law.
TaxBuddy reserves the right to investigate suspected violations and may suspend accounts, restrict access, remove content, report unlawful activities to authorities and pursue available legal remedies.
Information Security
TaxBuddy maintains administrative, technical and organizational safeguards designed to protect information against unauthorized access, disclosure, alteration, destruction and other reasonably foreseeable security threats.
Such safeguards may include access controls, encryption, monitoring, authentication mechanisms, incident response procedures, backup processes and other security measures aligned with recognized industry standards. TaxBuddy may maintain certifications and compliance programs including ISO 27001, SOC 2 or similar frameworks from time to time.
Users are responsible for maintaining the security of their credentials, devices and access methods, and shall promptly notify TaxBuddy of any suspected security incident, unauthorized access or credential compromise.
While TaxBuddy employs commercially reasonable security measures, no system can be guaranteed completely secure and TaxBuddy does not warrant that security incidents, cyberattacks or unauthorized access can be entirely prevented.
In the event of a personal data breach, TaxBuddy shall notify the Data Protection Board of India and affected Users as soon as practicable upon becoming aware of the breach, in accordance with the provisions of the Digital Personal Data Protection Act, 2023, and the rules made thereunder.
Disclaimers
The Platform and Services are provided on an "as is" and "as available" basis, subject to applicable law.
TaxBuddy does not warrant that:

The Platform or Services will be uninterrupted, error-free or continuously available;
-
Government authorities, regulators or third parties will accept any filing, submission or recommendation;
-
Any tax position, tax outcome, refund, deduction, exemption or savings objective will be achieved;
-
Any investment recommendation will generate returns or achieve financial goals;
-
AI-generated, imported or automatically extracted information will be accurate, complete or error-free; or
-
Any information obtained from third-party sources will be accurate, complete or current.
Users acknowledge that tax laws, regulations, market conditions and regulatory interpretations may change over time and may affect outcomes. Final responsibility for reviewing filings, reports, recommendations and decisions remains with the User.
Any educational, informational or illustrative content made available through the Platform is provided for general informational purposes only and should not be construed as legal, tax, accounting, investment or financial advice unless expressly provided as part of a professional engagement.
Limitation of Liability
To the maximum extent permitted by applicable law, TaxBuddy, its affiliates, directors, officers, employees, consultants and service providers shall not be liable for any indirect, incidental, consequential, special, exemplary or punitive damages, including loss of profits, business opportunities, goodwill, reputation, anticipated savings, tax benefits, investment opportunities, data or business interruption.
TaxBuddy shall not be liable for losses arising from:

Information supplied by Users or third parties;

Government or regulatory actions, delays or system failures;
-
Third-party systems, platforms or service providers;
-
Market movements, investment performance or economic conditions;
-
Cyberattacks, internet failures or events beyond TaxBuddy's reasonable control; or
-
User failure to review, verify or approve information before submission or reliance.
To the fullest extent permitted by law, TaxBuddy's aggregate liability arising from any claim shall not exceed the fees actually paid by the User for the specific Service giving rise to the claim during the twelve (12) months preceding the event giving rise to such claim.
Any claim arising out of or relating to the Services must be brought within one (1) year from the date the User became aware, or reasonably should have become aware, of the underlying event.
Indemnification
You agree to defend, indemnify and hold harmless TaxBuddy, its affiliates, directors, officers, employees, consultants, agents and service providers from and against any claims, liabilities, damages, losses, penalties, costs and expenses (including reasonable legal fees) arising from:

Your breach of these Terms;

Violation of applicable law or regulatory requirements;
-
Inaccurate, incomplete, misleading or fraudulent information supplied by you;
-
Misuse of the Platform or Services;
-
Violation of third-party rights, including intellectual property or privacy rights; or
-
Any act or omission attributable to you that causes loss, liability or regulatory exposure to TaxBuddy.
TaxBuddy reserves the right to assume control of the defense or settlement of any matter subject to indemnification, and you agree to reasonably cooperate in such defense.
Suspension and Termination
TaxBuddy may suspend, restrict or terminate access to the Platform or Services, with or without notice, where it reasonably believes that:

These Terms have been violated;

Fraudulent, unlawful or unauthorized activity has occurred;
-
Security, compliance or regulatory concerns exist;
-
Required fees remain unpaid; or
-
Continued provision of Services becomes impractical, unlawful or presents unacceptable risk.
Users may discontinue use of the Platform or request closure of their Account at any time.
Termination or suspension shall not affect:

Accrued rights and obligations;
-
Outstanding payment obligations;
-
Data retention requirements;
-
Intellectual property rights;
-
Indemnification obligations; or
-
Any provisions intended by their nature to survive termination.
TaxBuddy may retain information following termination where required by law, regulatory obligations, audit requirements, security requirements or legitimate business purposes.
Data Retention
TaxBuddy retains personal data only for as long as necessary to fulfill the purposes for which it was collected, provide Services, comply with legal, tax, accounting, regulatory, audit and record-retention obligations, resolve disputes, enforce agreements and protect legitimate business interests.
Upon expiry of applicable retention periods, personal data shall be deleted, anonymized or securely disposed of unless further retention is required or permitted by applicable law.
Governing Law and Dispute Resolution
These Terms and all Services provided by TaxBuddy shall be governed by and construed in accordance with the laws of India.
TaxBuddy shall process personal data in accordance with applicable data protection laws, including the Digital Personal Data Protection Act, 2023 and the Digital Personal Data Protection Rules, 2025, as amended from time to time.
Before initiating formal legal proceedings, the parties shall attempt in good faith to resolve disputes through discussions and negotiations.
Subject to applicable law, the courts located in Mumbai, Maharashtra, India shall have exclusive jurisdiction over disputes arising out of or relating to these Terms, the Platform or the Services.
Nothing in these Terms limits any rights available to Users under applicable law, including rights available under the Digital Personal Data Protection Act, 2023, or the right to approach regulatory authorities, consumer protection authorities, the Data Protection Board of India, or other governmental authorities having jurisdiction.
General Provisions
These Terms, together with the Privacy Policy, service-specific terms, engagement letters and other documents expressly incorporated by reference, constitute the entire agreement between the parties relating to the Services.
TaxBuddy may update these Terms from time to time. Updated versions shall be published on the Platform and shall become effective as specified therein. Continued use of the Services following such updates constitutes acceptance of the revised Terms.
Users may not assign or transfer their rights or obligations under these Terms without TaxBuddy's prior written consent. TaxBuddy may assign its rights and obligations in connection with mergers, acquisitions, restructuring transactions or other lawful business transfers.
If any provision of these Terms is held invalid or unenforceable, the remaining provisions shall continue in full force and effect.
Failure by TaxBuddy to enforce any provision shall not constitute a waiver of that provision or any other rights.
TaxBuddy shall not be liable for delays, interruptions or failures resulting from events beyond its reasonable control, including natural disasters, government actions, regulatory restrictions, cyber incidents, telecommunications failures, internet disruptions, pandemics, labor disputes or other force majeure events.

Users may exercise their rights under applicable law, including requests for access, correction, updating, erasure of personal data (where applicable), withdrawal of consent, nomination requests, and grievance submissions, by sending an email to privacy@taxbuddy.com or grievance@taxbuddy.com from their registered email address with sufficient details to enable verification of identity and processing of the request.

Clicking the unsubscribe link included in marketing emails (where available);

Sending an email to privacy@taxbuddy.com with the subject line "Opt-Out Request"; or

Contacting support@taxbuddy.com and requesting removal from promotional communications.
Please note that TaxBuddy may continue to send communications necessary for service delivery, account administration, security, fraud prevention, legal compliance, and fulfillment of contractual obligations.
TaxBuddy shall acknowledge and address grievances, privacy requests, and other user requests within the timelines prescribed under applicable law.
